Annex No. 1 to the Offer to conclude an agreement on the use of the Platform Services

This Annex, the "Referral Programme" (hereinafter — the "Rules"), forms an integral part of the Offer to conclude an agreement on the use of the Platform Services (hereinafter — the "Offer") and sets out the terms and procedure for Clients of the GPTunneL Platform (hereinafter — the "Platform") to take part in the Referral Programme run by OÜ "ShockLabs" (hereinafter — the "Organiser").
All capitalised terms and definitions used in these Rules have the meaning given to them in the Offer, unless these Rules expressly state otherwise.
1. Terms and definitions
1.1. Referral Programme — the set of activities run by the Organiser in order to attract new Clients to the Platform and to encourage existing Clients by paying them a Reward for successfully recommending the Platform Services.
1.2. Referral Programme participant (Partner) — a Client of the Platform who has accepted these Rules and takes part in the Referral Programme, including by providing marketing services to the Organiser.
1.3. Referral — a new individual or legal entity that has registered on the Platform and started using the Platform Services through a Referral link or using a Partner's Promo code, including as a result of the marketing services provided by the Referral Programme participant (Partner).
1.4. Referral link — a unique hyperlink assigned to the Partner in the Platform account area and intended for attracting Referrals. The Partner can set a name for their unique referral link.
1.5. Promo code — a unique code assigned to the Partner in the Platform account area, which a Referral can use on their first payment to receive Bonus points and to be attributed to the Partner. When the name of the Referral link is changed, the name of the Promo code is updated automatically, and the previously issued Promo code with the old name becomes invalid, as does the previous Referral link.
1.6. Reward — the amount of funds credited to the Partner for attracting Referrals who meet certain conditions in accordance with these Rules. The Reward may be used to pay for the Platform Services, withdrawn in accordance with these Rules, or converted into Bonus points. The Reward is paid to Partners solely for attracting Referrals and in accordance with the calculation rules set out herein. Costs incurred by the Partner in providing marketing services, including mandatory levies, are not reimbursed.
1.7. Bonus points — units credited to a Referral when they use a Partner's Promo code on their first payment, and credited to a Partner when converting a Reward. Bonus points may be used to pay for the Platform Services. Rewards are converted into Bonus points at the rate of 1 (one) unit of the billing currency to 2 (two) Bonus points. As part of marketing campaigns run by the Organiser, a Partner may receive additional Bonus points when converting a Reward into Bonus points. The size, terms and duration of such campaigns are determined by the Organiser unilaterally and published in the Platform account area. Bonus points may be used solely to pay for the Platform Services, are valid for 1 year from the date they are credited, cannot be withdrawn in cash and cannot be exchanged for money. Converting a Reward into Bonus points is irrevocable.
1.8. Active Referral — a Referral who has spent funds on the Platform Services.
1.9. Business referral — a legal entity or sole trader attracted by the Partner through a Referral link who has enabled Corporate access on the Platform.
1.10. GiftCard — an electronic certificate or promo code with a set value in Bonus points, created by the Partner in a dedicated section of the Platform (/apps/@GiftCard), which can be used to pay for the Platform Services or given to third parties. Activating a GiftCard attributes the user who activated it as a Referral of the Partner who created that GiftCard.
2. Conditions for taking part in the Referral Programme
2.1. Any Client of the Platform who is duly registered and has accepted the Offer and these Rules may become a participant in the Referral Programme.
2.2. To take part in the Referral Programme, the Client needs to obtain access to the referral tools (Referral link, Promo code) in the "Referrals" section of the Platform account area, or via the direct link given on the Website, and to provide the corresponding marketing services.
2.3. Participation in the Referral Programme is voluntary.
2.4. The Partner confirms that they have read these Rules, unconditionally accept their terms and undertake to comply with them.
3. How the Referral Programme works
3.1. Attracting Referrals:
3.1.1. The Partner distributes their Referral link and/or Promo code and/or GiftCard among potential Clients.
3.1.2. When a new user follows the Partner's Referral link and registers on the Platform, they automatically become a Referral of that Partner. This requires that the Referral has not previously registered on the Platform and has not been attributed to another Partner.
3.1.3. When a new user activates the Partner's Promo code on their first payment, that user becomes a Referral of this Partner and receives Bonus points. When a promo code is activated at the first level of the Partner's referral programme, the Referral receives from 10 to 100% in bonuses (the percentage depends on individual terms) of their first top-up, calculated at 2 Bonus points to 1 unit of the billing currency.
3.2. Crediting the Reward to the Partner:
3.2.1. The Partner receives a Reward as a percentage of every amount their Referrals spend on the Platform Services. At level 1 (one), the Partner's reward is from 5 to 10% of the amount spent by the Referral on the Platform Services. The percentage depends on the referral programme level.
3.2.2. The terms and amounts of the Reward, including percentage rates and bonuses, are determined by the level system of the Referral Programme.
3.3. Level system:
3.3.1. The Referral Programme includes a multi-level system. The highest level is 10 (ten), the lowest is 1 (one).
3.3.2. A Partner's level depends on the number of Active Referrals and the total amount spent by their Referrals.
3.3.3. Each new level increases the Partner's Reward percentage or the percentage attached to their Promo code.
3.3.4. The Organiser may change the level conditions; however, if the Partner has already reached a given level, their current percentages and privileges for that level are retained.
3.3.5. New levels are activated by the Partner manually in the account area.
3.4. Attracting Business referrals:
3.4.1. The Partner may attract legal entities and sole traders (Business referrals) using their Referral link.
3.4.2. For a Business referral to be attributed to the Partner, the owner of the company account must register through the Partner's Referral link and enable Corporate access. The account owner may be either a company director or another authorised person.
3.4.3. Promo codes are not used for attracting Business referrals.
3.4.4. The Reward for Business referrals is credited as a percentage of every amount the company spends, which may help the Partner progress through the level system faster.
4. Crediting and paying out the Reward
4.1. Attracted Referrals, their spending and the Reward credited are recorded automatically by the Platform. This information is available to the Partner in the analytics section of their account area and includes, among other things, the history of Rewards credited, the payout history and the history of conversions of Rewards into Bonus points, showing the amount, the date of the transaction and the resulting number of Bonus points credited (including bonuses credited as part of campaigns). The Reward is credited once (1) per day.
4.2. The Partner may use the Reward credited to them in the following ways:
4.2.1. To pay for any Platform Services in full or in part.
4.2.2. To convert it into Bonus points for subsequent payment for the Platform Services.
4.2.3. To withdraw the funds in the manner set out in these Rules.
4.3. Converting a Reward into Bonus points:
4.3.1. To convert a Reward into Bonus points, the Partner selects the corresponding option in their account area and specifies the amount of the Reward to be converted.
4.3.2. Conversion takes place at the rate set out in clause 1.7 of the Rules. The Organiser may run marketing campaigns granting the Partner additional Bonus points on top of the base conversion amount. The terms of such campaigns are shown in the account area interface.
4.3.3. Bonus points are credited to the Partner's account once the transaction is confirmed. Conversion is irrevocable.
4.4. For Partners that are legal entities or sole traders, the procedure, terms and timescales for withdrawing the Reward are governed by a separate Partner agreement concluded between the Organiser and the Partner.
4.5. For Partners that are individuals:
4.5.1. To withdraw funds, the Partner declares their status through the account area by selecting the corresponding option and provides the payout details required by the Organiser.
4.5.2. Funds are withdrawn to the payment card or account linked by the Partner. The minimum withdrawal amount and any transfer fee are shown in the account area when the withdrawal is being arranged.
4.5.3. The Organiser is not a tax agent for Partners that are individuals. The Partner is solely responsible for declaring and paying any taxes due on the Reward received, in accordance with the law applicable to them.
4.5.4. Payments to Partners that are individuals are made within 10 (ten) banking (business) days.
5. GiftCards
5.1. Partners can create their own gift cards (GiftCards) in the corresponding section of the Platform.
5.2. GiftCards are issued with a value from 100 (one hundred) Bonus points.
5.3. Funds are converted into Bonus points when a GiftCard is created at the rate set out in clause 1.7 of the Rules.
5.4. A GiftCard can be paid for from either the Partner's personal or corporate account.
5.5. There is no limit on the number of GiftCards created. The Partner can set a personal message for the GiftCard recipient.
5.6. Key features of GiftCards:
5.6.1. Bonus points credited after a GiftCard is activated are valid for 1 year from the date they are credited.
5.6.2. The user who activates a GiftCard becomes a Referral of the Partner who created it, subject to clause 3.1.2 of the Rules.
5.7. A GiftCard (the promo code from a GiftCard) is activated by the user in the "Profile" section by entering the promo code in the corresponding field. Once activated, the Bonus points are credited to the user's account automatically.
6. Rights and obligations of the Parties
6.1. The Organiser may:
6.1.1. Unilaterally amend these Rules, including the amounts of the Reward, the terms of the level system and the procedure for crediting and paying out the Reward. The Organiser notifies Partners of amendments by publishing the new version of the Rules on the Website and/or in the Partner's account area. Amendments take effect once published, unless another date is stated.
6.1.2. Suspend or terminate the Partner's participation in the Referral Programme if the Partner breaches these Rules, the Offer or applicable law, or if the Partner is found to be acting in bad faith (including spam, misleading advertising, creating fake accounts and so on).
6.1.3. Refuse to credit, or cancel an already credited, Reward where violations set out in clause 6.1.2 are identified.
6.1.4. Carry out checks to identify breaches of the Referral Programme rules.
6.1.5. Request additional information and documents from the Partner in connection with the Referral Programme.
6.1.6. Suspend or discontinue the Referral Programme, notifying Partners in the manner set out in clause 6.1.1.
6.2. The Organiser undertakes to:
6.2.1. Keep the referral tools on the Platform operational.
6.2.2. Credit and pay the Reward to Partners who have met the terms of the Referral Programme in full and on time, except in the cases provided for by these Rules.
6.2.3. Give Partners access to statistics on their Referrals and the Reward credited in the account area.
6.3. The Partner may:
6.3.1. Use the referral tools provided to attract Referrals.
6.3.2. Receive a Reward in accordance with these Rules.
6.3.3. Obtain information on the status of their referral account and statistics on the Referrals attracted in the account area.
6.3.4. Contact the Organiser's support team on matters relating to the Referral Programme.
6.3.5. Stop taking part in the Referral Programme at any time.
6.4. The Partner undertakes to:
6.4.1. Comply with these Rules, the Offer and applicable law when taking part in the Referral Programme.
6.4.2. Not use methods of attracting Referrals that breach the law or the rights of third parties, or that could damage the Organiser's business reputation (spam, misleading advertising, malware and so on).
6.4.3. Provide accurate information about the Platform Services when attracting Referrals.
6.4.4. Be solely responsible for paying taxes and levies on the Reward received, in accordance with the law applicable to them.
6.4.5. Not use the Organiser's trademarks or other intellectual property without the Organiser's prior written consent, except where expressly permitted within the Referral Programme.
7. Duration and amendment of the Rules
7.1. The Referral Programme runs indefinitely from the moment the Organiser launches it, unless the Organiser announces otherwise. Referral payments to the Partner for each attracted Referral are limited to 12 (twelve) months — they are made during the 12 (twelve) months following that Referral's first spend.
7.2. The Organiser reserves the right to amend these Rules or discontinue the Referral Programme at any time. Information about amendments or discontinuation is published on the Organiser's Website and/or in Partners' account areas.
7.3. The Partner's continued participation in the Referral Programme after the Rules have been amended constitutes their full acceptance of those amendments.
8. Processing of personal data
8.1. By taking part in the Referral Programme, the Partner consents to the processing of their personal data by the Organiser for the purposes of performing these Rules and the Offer, in accordance with the privacy policy published at /en/documents/privacy.
8.2. The Organiser undertakes to take the legal, organisational and technical measures necessary to protect personal data against unlawful or accidental access.
9. Liability of the Parties
9.1. The Parties are liable for failure to perform, or improper performance of, their obligations under these Rules in accordance with applicable law and the terms of the Offer.
9.2. The Organiser is not liable for any indirect losses or lost profit of the Partner arising in connection with participation in the Referral Programme.
9.3. The Organiser is not liable for failures of telecom operators, internet providers or payment systems, or for other technical faults outside the Organiser's control.
9.4. The Partner bears full responsibility for the content and lawfulness of the methods they use to attract Referrals.
9.5. The Organiser is not liable for claims made against Partners by supervisory authorities, except in the cases established by law.
10. Dispute resolution
10.1. All disputes and disagreements arising between the Organiser and the Partner under the Referral Programme are settled through negotiation.
10.2. If a dispute cannot be settled through negotiation, it is referred to the courts in accordance with applicable law at the Organiser's registered address. A pre-court claim procedure is mandatory.
11. Final provisions
11.1. These Rules form an integral part of the Offer. In all matters not covered by these Rules, the Parties are governed by the Offer and by applicable law.
11.2. Participation in the Referral Programme does not create an employment or agency relationship, a partnership or a joint venture between the Organiser and the Partner, unless expressly provided for by a separate agreement between the Parties.
11.3. The Organiser may use information about the Partner's participation in the Referral Programme (without disclosing confidential information) for marketing purposes.
11.4. If the Partner has any questions relating to the Referral Programme, they may contact the Organiser's support team through the channels listed on the Website.
