Auto top-up agreement

1. Terms and definitions

1.1. GPTunneL™ — the service provided by the Provider on the Website. 1.2. Balance — the amount of funds available to the User for using the GPTunneL™ service. 1.3. Pay-as-you-go — a payment model under which funds are charged from the User's Balance as the service is used. 1.4. Auto top-up — the function that automatically tops up the Balance once it falls to the threshold set by the User.

2. General provisions

This Auto Top-up Agreement (hereinafter — the "Agreement") governs the relationship between OÜ "ShockLabs" (registration code 14015152, registered address: Tallinna mnt 29-75, 20303, Narva, Ida-Viru County, Estonia) (hereinafter — the "Provider") and an individual or legal entity (hereinafter — the "User"), jointly referred to as the "Parties", in connection with the use of the automatic balance top-up service (hereinafter — "Auto top-up") on the Website.

3. Subject of the Agreement

3.1. The Provider undertakes, on the User's instruction, to top up the User's Balance on the Website automatically by charging the User's payment card or account in accordance with this Agreement.

4. Enabling auto top-up

4.1. Linking a payment card:

4.1.1. To link a payment card, the User must enter the card details on the secure page of the acquiring bank. 4.1.2. The User must complete 3‑D Secure verification if the acquiring bank requires it. 4.1.3. The Provider does not store Users' payment card details on its servers.

4.2. Linking an account:

4.2.1. To link an account, the User must follow the payment provider's confirmation procedure and confirm the link in their bank's application. 4.3. The User may link or unlink a payment method at any time in their account on the Website under "Profile" → "Auto top-up settings".

5. How auto top-up works

5.1. When enabling auto top-up, the User sets:

5.1.1. The Balance threshold at which an automatic top-up is triggered. 5.1.2. The top-up amount.

5.2. Once the Balance reaches the threshold, the Provider automatically initiates a charge of the specified amount to the linked payment card or account.

5.3. How often charges occur depends on how intensively the User uses the GPTunneL™ service and on the Auto top-up parameters they have set.

5.4. The amount charged equals the amount set by the User when configuring Auto top-up.

6. Rights and obligations of the Parties

6.1. The Provider undertakes to:

6.1.1. Make charges only in accordance with the Auto top-up settings configured by the User. 6.1.2. Make it possible to change the Auto top-up settings in the User's account. 6.1.3. Provide the User with information on completed Auto top-ups in their account.

6.2. The User undertakes to:

6.2.1. Ensure that the linked payment card or account holds sufficient funds for the Auto top-up. 6.2.2. Monitor their own account balance so that Auto top-up works correctly. 6.2.3. Not disclose the login and password for their account on the Website to third parties.

7. Cancellation and refunds

7.1. The User may disable or change the Auto top-up settings at any time in their account on the Website.

7.2. Funds credited to the Balance through an Auto top-up may be refunded to the User on request, provided they have not been used to pay for GPTunneL™ services.

7.3. For refunds or any other questions relating to Auto top-up, the User may contact support at it@shds.io.

8. Liability of the Parties

8.1. The Parties are liable for failure to perform, or improper performance of, their obligations under this Agreement in accordance with applicable law.

8.2. The Provider is not liable where funds cannot be charged under Auto top-up because the User's account or card holds insufficient funds, because the User provided incorrect details, or because of technical failures.

9. Final provisions

9.1. This Agreement takes effect once the User enables the Auto top-up function on the Website and remains in force indefinitely.

9.2. The Provider may amend this Agreement by publishing a new version on the Website. A new version takes effect once it is published on the Website, unless the new version provides otherwise.

9.3. All disputes and disagreements arising between the Parties under or in connection with this Agreement are settled through negotiation. If a dispute cannot be settled through negotiation, it is referred to the courts in accordance with applicable law.

9.4. In all other matters not covered by this Agreement, the Parties are governed by applicable law and by the Website's user agreement.
